(the “Exchange”), complete its first distribution to the Company’s shareholders (the “First Distribution”) in connection with its previously announced returns of capital (the “Returns of Capital”) and complete the voluntary dissolution of the Company in accordance with the Business Corporations Act (British Columbia) (the “Dissolution”).
